The Company was listed on the Alternative Investment Market (AIM) of the London Stock Exchange until Monday 4th November 2019.

Recommended cash offer and scheme of arrangement

On Thursday 31st October 2019 the High Court of Justice in England and Wales sanctioned the scheme of arrangement (“The Scheme”) under Part 26 of the Companies Act 2006 in connection with the recommended cash offer by Specialist Components Limited for the entire issued and to be issued share capital of APC Technology Group PLC.

Trading in the Company’s shares was suspended on Friday 1 November 2019. Admission to trading on AIM of, and cessation of dealings in, the Ordinary Shares, was cancelled with effect from 7.00 a.m. (UK time) on Monday 4 November 2019.

On 1 November 2019 share certificates in respect of the Ordinary Shares ceased to be valid and entitlements to Ordinary Shares held within the CREST system were cancelled.

Under the terms of the Scheme, the consideration of 10 pence per Ordinary Share due to Scheme Shareholders will be settled (in the case of Scheme Shares held in uncertificated form, by CREST accounts being credited) or despatched (in the case of Scheme Shares held in certificated form by cheques being despatched) as soon as practicable after 1 November 2019 and in any event within the following 14 days, and therefore by no later than 15 November 2019.

The Company’s parent company is Specialist Components Limited, a private company incorporated in England and Wales, which was established by Harwood Capital LLP (on behalf of the Harwood Funds) specifically for the purpose of making the cash offer. Following implementation of the offer, Specialist Components is wholly owned by the Harwood Funds, which comprise Harwood Capital LLP and other funds that Harwood Capital LLP manages or advises.
